Memorandum of
Understanding
between the
Venezuelan State and
company AES
Corporation, for the
transference to the
Venezuelan state, of
the majority
shareholder who has
this international
company/signature on
the Electricity of
Caracas (EDC).
The state being that
will acquire the
shareholding package,
in representation by
Venezuela, will be
PDVSA.
The Memorandum of
Understanding,
signed by the
President of PDVSA,
Minister Rafael
Ramirez and the
president of AES,
Paul Hanraham, is a
fundamental step for
the subscription of
82.14% of the share
capital into the
hands of the AES,
for its
formalization in
next the 2 working
days, and esteem
that in a period
greater to 30 days
does not execute the
transference of the
actions.
According to
informed by Minister
Rafael Ramirez, the
commitment was done
taking care of legal
the frame Venezuelan.
The negotiation will
preserve the rights
of 13% of small
shareholders, who
represent 100
thousand Venezuelans

conserve the titles

rights of the
workers of the EDC

country for the
acquisition of the
EDC, they have been
investing 600
million additional
dollars to the 1.6
millardos of the
initial cost of the
negotiation that

the Venezuelan
electrical company.

assuring that the
company that

strongly Venezuela
and the EDC. Finally,
he noticed that the
agreement signed
with the
Memorándumde
Understanding with
the Venezuelan state,

Jorge Rodriguez,
emphasized that in
this negotiation to
acquire the majority
shareholder of the
share capital of the
